Professional Cybersecurity Services Agreement
Effective Date: January 15, 2025
1. Agreement to Terms
By accessing NextGenOps services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services. These terms apply to all visitors, users, and clients who access or use our cybersecurity services for iGaming platforms.
2. Services Description
NextGenOps provides professional cybersecurity services including but not limited to:
- Penetration testing and vulnerability assessments
- 24/7 Security Operations Center (SOC) monitoring
- DDoS protection and mitigation
- Cloud security management
- Incident response and forensics
- Compliance audits and consulting
Services are provided exclusively for legitimate business purposes in compliance with all applicable laws and regulations governing iGaming operations.
3. Client Responsibilities
As our client, you agree to:
- Provide accurate and complete information about your systems
- Maintain valid licenses for all iGaming operations
- Grant necessary access for security assessments
- Implement recommended security measures promptly
- Notify us immediately of any security incidents
- Maintain confidentiality of security findings
- Use our services only for authorized systems you own or control
4. Service Level Agreement (SLA)
Response Times
- Critical Issues: < 30 minutes
- High Priority: < 2 hours
- Medium Priority: < 8 hours
- Low Priority: < 24 hours
Uptime Guarantees
We guarantee 99.9% uptime for SOC monitoring and DDoS protection services. Credits will be issued for any downtime exceeding this threshold.
5. Payment Terms
- Services are billed according to the agreed service contract
- Payment is due within 30 days of invoice date
- Late payments incur a 1.5% monthly fee
- All fees are non-refundable except as required by law
- Prices exclude applicable taxes
6. Confidentiality
Both parties agree to maintain strict confidentiality regarding:
- Security vulnerabilities and assessment findings
- System architectures and configurations
- Business strategies and operations
- Proprietary methodologies and tools
This obligation survives termination of services for 5 years.
7. Limitation of Liability
IMPORTANT: Please read this section carefully as it limits our obligations to you.
To the maximum extent permitted by law:
- Our total liability shall not exceed the fees paid in the last 12 months
- We are not liable for indirect, incidental, or consequential damages
- We are not responsible for third-party attacks or data breaches
- We do not guarantee prevention of all security incidents
8. Indemnification
You agree to indemnify and hold NextGenOps harmless from any claims, damages, or expenses arising from:
- Your violation of these terms
- Your violation of any laws or regulations
- Unauthorized use of our services
- False or misleading information provided to us
9. Intellectual Property
All methodologies, tools, reports, and deliverables remain the intellectual property of NextGenOps unless explicitly transferred. You receive a limited license to use deliverables for internal security purposes only.
10. Termination
Either party may terminate services by providing 30 days written notice. We may terminate immediately for:
- Non-payment of fees
- Breach of confidentiality
- Illegal use of services
- Violation of these terms
11. Dispute Resolution
Any disputes shall be resolved through binding arbitration in accordance with international arbitration rules. The prevailing party shall be entitled to reasonable attorney's fees.
12. Governing Law
These terms are governed by international cybersecurity standards and applicable laws where services are rendered, without regard to conflict of law provisions.
13. Amendments
We reserve the right to modify these terms at any time. Continued use of services after modifications constitutes acceptance of updated terms.
